Job Description

As In-House Legal Counsel, you will serve as a trusted advisor on our commercial and corporate matters including the preparation, review and/or negotiation of variety of business agreements, contracts, and other legal requirements as required.
This position will report to the President amp; CEO.Main Responsibilities
  • Act as internal general counsel on legal, compliance and advise on legislative requirements;
  • Draft, review, revise and negotiate company contracts and agreements, which will include: bid responses, client/non-standard service contracts, third-party contracts, NDAs, RFI’s, RFP’s and subcontractor agreements and identifying risks;
  • Monitor all project contracts and ensure that the project teams are complying with contract commitments including project schedules, invoicing, budgets and Service Level Agreements (SLAs) of FreeBalance and third-party partners;
  • Maintain FreeBalance standard contracts agreements up to date;
  • Contribute to record keeping for all contract-related correspondence and documentation;
  • Provide contract-related issue resolution, both internally and externally;
  • Monitor project contracts, ensuring project revenue and profits meet or exceed approved project budgets;
  • Perform legal/financial scenario forecasting with comparisons of results under various assumptions for projects, countries, regions or company;
  • Initiate the close-out, extension or renewal of customer, partner and subcontractor contracts as needed;
  • Lead price/cost proposal preparation for all new business and follow-on opportunities in accordance with FreeBalance profit goals, policies, legal, customer and donor requirements;
  • Ability to travel up to 50% of the time worldwide as required;
  • Other duties as assigned.
Qualifications
  • Juris Doctor degree from an accredited law school;
  • 5+ years relevant experience in product, IP or commercial attorney role in a law firm and/or in-house legal counsel;
  • Expertise with drafting, reviewing and negotiating contracts, preferably in software industry;
  • Previous experience dealing with contracts in the Public Sector industry considered an asset;
  • In depth knowledge Software Licensing and Software Implementation contracts is an asset;
  • Experience working with international donors like the World Bank, African Development Bank, USAID, DFID and others, considered an asset;
  • Excellent critical thinking skills and the ability to research and understand legal, contractual and financial implications of contracting terms;
  • Exceptional attention to detail, and talent for accuracy and precision;
  • Must be self-motivated and able to work autonomously; have a commitment to change and deliver improvement;
  • Excellent interpersonal relationships, leadership, and problem-solving skills;
  • Previous experience working in software company is considered an asset;
  • Strong oral and written communication skills in English and Spanish. Other languages are considered an asset
